1. About These Terms

Welcome to Retreat Me Happy.

Retreat Me Happy is owned and operated by Rest & Receive Pty Ltd (ABN 681 568 525) (“Retreat Me Happy”, “we”, “us” or “our”).

These Terms & Conditions (“Terms”) govern your access to and use of the Retreat Me Happy website, directory, memberships, listings and related services.

By using our website, creating an account, submitting a listing, purchasing a membership or other service, or otherwise using Retreat Me Happy, you agree to these Terms.

Please read them carefully before using our website or purchasing a membership or listing.

You must be at least 18 years old to purchase a Retreat Me Happy membership or paid listing.

2. What Retreat Me Happy Is

Retreat Me Happy is a retreat discovery, directory, promotional and industry connection platform.

We bring together:

  • retreat guests;
  • retreat hosts;
  • retreat venues;
  • retreat suppliers and service providers; and
  • other businesses and industry partners operating within or supporting the retreat industry.

Retreat Me Happy provides a platform for people and businesses to discover and be discovered.

Unless expressly stated otherwise, Retreat Me Happy is not the organiser, host, operator, travel provider, travel agent, venue, supplier or booking agent for third-party retreats, venues, services or experiences listed on the platform.

3. Third-Party Listings and Bookings

Retreats, venues, suppliers and other services displayed on Retreat Me Happy may be provided by independent third parties.

Unless we expressly state otherwise, Retreat Me Happy is not a party to any agreement entered into between:

  • a retreat guest and retreat host;
  • a retreat host and venue;
  • a retreat host and supplier;
  • a user and an Industry Partner; or
  • any other users or businesses who discover or connect with each other through Retreat Me Happy.

Any booking, engagement, payment, cancellation, refund, contract or other arrangement is between the relevant parties.

You are responsible for making your own enquiries and determining whether a retreat, host, venue, supplier or other provider is appropriate for your requirements before entering into an agreement with them.

4. Memberships and Listings

Retreat Me Happy may offer different membership and listing options, including:

Retreat Host Membership

Designed for eligible retreat hosts and businesses promoting retreats.

An active Retreat Host Membership may include:

  • a Retreat Host profile;
  • unlimited eligible retreat listings during the active membership period;
  • the ability to submit and manage listings;
  • visibility through the Retreat Me Happy platform; and
  • 0% Retreat Me Happy commission on retreat bookings under our current commercial model.

Retreat Supplier Membership

Designed for individuals and businesses providing products or services relevant to retreat hosts and the retreat industry.

An active Retreat Supplier Membership may include:

  • a Supplier profile or directory listing;
  • selection of relevant supplier categories;
  • member account access;
  • the ability to submit and manage eligible profile information; and
  • visibility to Retreat Me Happy users, including retreat hosts.

Retreat Venue Membership

Designed for venues suitable for retreats, group experiences and related events.

An active Retreat Venue Membership may include:

  • a venue profile or listing;
  • images, venue information, facilities and other relevant details;
  • member account access;
  • the ability to submit and manage eligible venue information; and
  • visibility to retreat hosts, retreat guests and other Retreat Me Happy users.

Single Retreat Listing

We may offer a Single Retreat Listing for retreat hosts who do not require an annual Host Membership.

A Single Retreat Listing applies to one eligible retreat listing and does not include the benefits of an annual Host Membership unless expressly stated.

The inclusions, duration and price applicable to any membership or listing will be those displayed at the time of purchase.

Membership types, inclusions and prices are subject to change from time to time. The price and inclusions applicable to your purchase will be those displayed at the time of purchase, subject to any specific ongoing pricing commitment expressly made by Retreat Me Happy, including eligible Founding Member renewal pricing under these Terms.

5. Legacy, Existing and Unpaid Listings

As part of the relaunch of Retreat Me Happy under Rest & Receive Pty Ltd, Retreat Me Happy is transitioning from its previous listing model to a paid membership and listing model.

Listings, profiles or other content created or published under the previous Retreat Me Happy model, including free, complimentary, expired or otherwise unpaid listings, do not create an ongoing entitlement to remain published on the platform.

Unless Retreat Me Happy has expressly agreed otherwise, legacy listings that are not covered by a current paid or approved complimentary membership or listing arrangement may be unpublished, archived or removed from the website from 20 September 2026.

Where reasonably practicable, Retreat Me Happy may contact existing listing owners and provide an opportunity to purchase an appropriate membership or listing before their content is removed.

Retreat Me Happy reserves the right to remove, unpublish, archive or update legacy content where:

  • there is no current paid or approved complimentary listing arrangement;
  • the information appears outdated, inaccurate or incomplete;
  • the listing owner cannot be identified or contacted;
  • the listing no longer aligns with the current Retreat Me Happy platform; or
  • Retreat Me Happy otherwise reasonably determines that the content should no longer remain published.

Previous publication of a listing, whether paid or unpaid, does not guarantee continued publication under the current Retreat Me Happy membership model.

6. Membership Period

Unless otherwise stated at the time of purchase, paid Retreat Me Happy memberships are provided for a period of 12 months.

Your membership begins from the applicable purchase or activation date.

You may use the membership benefits available to your membership type while your membership remains active and your account remains in good standing.

7. Annual Renewal

Where you purchase a membership on an automatically renewing basis, your membership will renew for a further 12-month period at the end of each membership term unless you cancel the renewal before the applicable renewal date.

By purchasing an automatically renewing membership, you authorise Retreat Me Happy and its payment provider to charge your nominated payment method for the applicable renewal fee when your membership renews.

The recurring nature of the membership and applicable price will be disclosed during purchase.

You are responsible for ensuring your payment and account information remain current.

The renewal price will be the applicable membership renewal price at that time, subject to any specific pricing commitment made to you, including an eligible Founding Member renewal rate.

8. Founding Memberships

During the Retreat Me Happy relaunch, eligible customers may purchase a Founding Membership at a special Founding Member rate.

The Founding Membership rates are:

  • Retreat Host — $99 per year
  • Retreat Supplier — $199 per year
  • Retreat Venue — $299 per year

The Founding Membership offer ends on 20 September 2026, unless extended by Retreat Me Happy.

These promotional rates apply only to eligible memberships purchased during the Founding Membership period.

Keeping Your Founding Rate

If you purchase an eligible Founding Membership during the promotional period, your Founding Member rate will remain your annual renewal rate for as long as that membership remains continuously active.

If you cancel your membership, allow it to lapse or otherwise cease continuous membership and later choose to rejoin, your previous Founding Member rate will no longer apply. You will be required to join at the membership price available at that time.

Founding Membership pricing is attached to the applicable membership and member account and cannot be transferred or sold to another person or business without our written approval.

Retreat Me Happy may change its standard membership prices from time to time. Changes to standard membership pricing will not affect an eligible Founding Member’s agreed Founding renewal rate while that membership remains continuously active, unless required by law or otherwise agreed with the member.

9. Cancelling Your Membership

You may cancel the automatic renewal of your membership before your next renewal date by following any cancellation process available through your account or by contacting Retreat Me Happy.

Unless otherwise required by law:

  • cancelling your renewal does not immediately terminate the remaining membership period you have already paid for;
  • your membership will remain active until the end of the current paid membership period; and
  • your membership will not renew for a further term after that date.

Once your membership expires, associated member benefits may cease and your listings or profile may be unpublished, archived, removed or otherwise no longer publicly displayed.

Cancelling or allowing a Founding Membership to lapse means you lose the right to renew at your previous Founding Member rate.

10. Failed Renewal Payments

If an automatic membership renewal payment fails, we or our payment provider may attempt to process the payment again and/or contact you to update your payment information.

If payment is not successfully received, we may suspend or terminate your membership and unpublish associated listings.

Where reasonably practicable, we may provide an opportunity to resolve a failed payment before membership benefits are removed.

11. Refunds

Please choose your membership or listing carefully.

Except where required under the Australian Consumer Law or other applicable law, payments for memberships and listings are generally non-refundable once the applicable service or membership period has commenced.

Cancelling an annual membership does not ordinarily entitle you to a refund for the unused portion of the current membership period.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.

12. Unlimited Retreat Listings

An active Retreat Host Membership may include unlimited retreat listings.

“Unlimited” means that the member may submit multiple genuine retreat listings associated with their own retreat business or activities during their active membership period.

It does not permit:

  • sharing a membership between unrelated businesses;
  • reselling listing access;
  • submitting listings on behalf of unrelated third parties to avoid applicable membership fees;
  • duplicate, misleading or spam listings; or
  • unreasonable use of the platform contrary to the purpose of the membership.

We reserve the right to review use of unlimited listings and contact a member where we reasonably believe the membership is being misused.

13. 0% Commission

Retreat Me Happy currently operates primarily on a membership and listing model and, at the date these Terms were last updated, charges 0% commission on bookings or engagements generated through standard member listings.

This means Retreat Me Happy does not currently take a percentage of a retreat booking, venue booking, supplier engagement or other transaction simply because the parties discovered or connected with each other through Retreat Me Happy.

Any booking, engagement and payment arrangements are made directly between the relevant parties unless expressly stated otherwise.

Third-party booking platforms, payment providers or other services may charge their own fees, which are outside Retreat Me Happy’s control.

Retreat Me Happy reserves the right to introduce, change or remove commission structures, transaction fees, referral fees or other commercial arrangements in the future.

Any such change will not be applied retrospectively to transactions already completed under the previous model.

Where a change materially affects an active paid membership, Retreat Me Happy will provide reasonable notice to affected members before the new arrangement applies to them.

14. Listing Submission and Approval

Purchasing a membership or listing does not create an unconditional right to publish any content on Retreat Me Happy.

We may review submitted listings and profiles before or after publication.

We reserve the right to:

  • request changes or additional information;
  • correct obvious formatting, spelling or presentation issues;
  • categorise or re-categorise listings;
  • reject content that is inappropriate for Retreat Me Happy;
  • unpublish or remove inaccurate, misleading, unlawful, inappropriate or outdated content; and
  • suspend or remove listings or accounts that breach these Terms.

We may make reasonable editorial changes to improve presentation, readability, consistency or searchability, provided we do not intentionally materially misrepresent your offering.

15. Your Responsibility for Listing Information

If you submit a profile, listing, image, testimonial, business description, retreat information or other content to Retreat Me Happy, you are responsible for ensuring that it is:

  • accurate and current;
  • not misleading or deceptive;
  • lawful;
  • appropriate for publication;
  • not defamatory;
  • not infringing another person’s intellectual property or privacy rights; and
  • information you have the authority to provide.

You are responsible for keeping information about your retreat, venue, services, pricing, availability, dates and other material details current.

Retreat Me Happy is not responsible for losses arising from inaccurate or outdated information supplied by a member or third-party provider.

16. Images, Copy and Other Member Content

You retain ownership of content that you own and submit to Retreat Me Happy.

By submitting content to us, you confirm that you own that content or have sufficient permission and rights to use and provide it.

You grant Retreat Me Happy a non-exclusive, worldwide, royalty-free licence to use, reproduce, format, edit, publish and display submitted content for the purposes of:

  • creating and displaying your Retreat Me Happy profile or listing;
  • promoting your listing, business, retreat, venue or services;
  • promoting the Retreat Me Happy directory and platform;
  • featuring members in Retreat Me Happy editorial content;
  • sharing listings through Retreat Me Happy newsletters;
  • promoting listings or members through Retreat Me Happy social media and other marketing channels; and
  • operating and promoting Retreat Me Happy generally.

This permission continues for as long as reasonably necessary to operate and promote your active listing and may include previously published promotional material after your membership ends, unless you reasonably request its removal and we are able to remove it.

17. Editorial, Social Media and Promotional Features

Retreat Me Happy may choose to feature members, retreats, venues, suppliers or Industry Partners through social media, newsletters, articles, video, editorial content or other promotional channels.

Unless expressly included as a guaranteed paid benefit in your membership, these promotional opportunities are discretionary and are not guaranteed.

Purchasing a membership does not guarantee:

  • a social media feature;
  • newsletter coverage;
  • editorial coverage;
  • video or podcast coverage;
  • a particular position on the website;
  • a particular number of impressions or views;
  • enquiries;
  • leads;
  • bookings; or
  • revenue.

We may select promotional features based on editorial relevance, available content, timing, audience interest and other factors.

18. No Guarantee of Results

Retreat Me Happy provides visibility, discovery and connection opportunities.

We do not guarantee that purchasing a membership or listing will result in any particular level of:

  • website traffic;
  • enquiries;
  • leads;
  • bookings;
  • customers;
  • partnerships;
  • media exposure;
  • business opportunities; or
  • revenue.

Results may vary depending on your offering, listing quality, pricing, destination, demand, availability and other factors outside our control.

19. Retreat Guests and Other Website Visitors

Information on Retreat Me Happy is provided for general discovery and informational purposes.

Before booking a retreat or engaging a venue, supplier or other provider, you should make your own enquiries regarding matters relevant to you, which may include:

  • retreat inclusions and exclusions;
  • pricing and payment terms;
  • cancellation and refund policies;
  • accommodation;
  • travel arrangements;
  • passports and visas;
  • insurance;
  • health, fitness or participation requirements;
  • qualifications and credentials;
  • licences and insurance held by providers; and
  • the suitability of an experience or service for your individual circumstances.

A listing appearing on Retreat Me Happy does not mean that Retreat Me Happy operates or guarantees that retreat, venue, service or provider.

20. Member Qualifications, Insurance and Legal Compliance

Retreat hosts, venues, suppliers and other listed businesses are responsible for ensuring they hold any qualifications, licences, registrations, permits and insurance required to provide their services.

They are also responsible for complying with laws and regulatory requirements applicable to their business, services and location.

Retreat Me Happy does not assume responsibility for independently verifying every licence, qualification, insurance policy or representation made by a listed provider.

21. Accounts and Account Security

Where Retreat Me Happy provides member accounts, you are responsible for:

  • providing accurate account information;
  • maintaining the confidentiality of your login details;
  • activities conducted through your account; and
  • notifying us if you reasonably believe your account has been accessed without authorisation.

You must not use another person’s account without permission or allow your account to be used in a way that breaches these Terms.

22. Complimentary Memberships and Listings

From time to time Retreat Me Happy may provide complimentary memberships, listings, promotional periods or other access at our discretion.

Complimentary access does not create an entitlement to ongoing free membership.

We may determine the duration, inclusions and conditions applicable to complimentary access and may require payment at the applicable membership rate if the recipient wishes to continue after the complimentary period.

23. Website, Membership and Pricing Changes

Retreat Me Happy is an evolving platform.

We may from time to time:

  • perform website maintenance;
  • change website functionality;
  • add, remove or modify features;
  • change listing structures or categories;
  • introduce new membership or listing types;
  • change standard membership and listing prices;
  • change membership inclusions;
  • introduce or change commission, referral or transaction models;
  • change promotional opportunities;
  • improve or redesign the platform; or
  • temporarily suspend parts of the website.

All prices are subject to change.

Changes to pricing will not ordinarily affect a membership period that has already been paid for.

Where a proposed change materially affects the price, inclusions or commercial terms of an active membership upon renewal, we will provide reasonable notice where appropriate.

Any specific ongoing pricing commitment made to eligible Founding Members remains subject to the Founding Membership provisions in these Terms.

24. Links to Third-Party Websites

Retreat Me Happy contains links to websites and services operated by third parties.

These links are provided to help users discover and connect with retreat hosts, venues, suppliers, Industry Partners and other relevant businesses and resources.

A link or listing does not necessarily constitute an endorsement, guarantee or recommendation by Retreat Me Happy.

We do not control third-party websites and are not responsible for their content, security, privacy practices, availability, products, services or terms.

You access and use third-party websites at your own discretion.

25. Intellectual Property

Unless otherwise stated, the Retreat Me Happy website, branding, logo, design, graphics, original editorial content and other materials created by Retreat Me Happy are owned by or licensed to Rest & Receive Pty Ltd (ABN 681 568 525) and are protected by applicable intellectual property laws.

You may not reproduce, distribute, commercially exploit, republish or substantially copy our protected content without prior written permission, except where permitted by law.

Third-party content displayed in listings remains subject to the rights of its respective owner.

26. Privacy

Your privacy is important to us.

Our collection, storage, use and disclosure of personal information is governed by our separate Privacy Policy, which should be read alongside these Terms.

27. Suspension or Termination

We may suspend, restrict or terminate an account, membership or listing where we reasonably believe:

  • these Terms have been breached;
  • information provided is materially false or misleading;
  • content is unlawful, inappropriate or infringes third-party rights;
  • the platform is being misused;
  • conduct may harm Retreat Me Happy, its users or its reputation;
  • required payment has not been received; or
  • suspension or termination is otherwise reasonably necessary to protect the platform or its users.

Where appropriate, we will endeavour to contact the member and provide an opportunity to resolve the issue.

Any refund entitlement following termination will be determined in accordance with these Terms and applicable law.

28. Limitation of Liability

To the maximum extent permitted by law, Retreat Me Happy and Rest & Receive Pty Ltd (ABN 681 568 525) are not liable for loss or damage arising from:

  • reliance on information supplied in a third-party listing;
  • the acts or omissions of a retreat host, venue, supplier, Industry Partner or other third party;
  • a booking, cancellation, refund or dispute between users;
  • third-party products or services;
  • interruption or unavailability of the website;
  • unauthorised access outside our reasonable control; or
  • decisions made based on information obtained through Retreat Me Happy.

Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.

29. Indemnity

To the extent permitted by law, if you submit a listing or other content to Retreat Me Happy, you agree to indemnify Rest & Receive Pty Ltd (ABN 681 568 525) against reasonable loss, liability, damage or costs arising directly from:

  • content you submit that infringes another person’s rights;
  • materially false or misleading information supplied by you;
  • your unlawful conduct;
  • your material breach of these Terms; or
  • claims relating to products or services you provide,

except to the extent that the loss was caused or contributed to by Retreat Me Happy or Rest & Receive Pty Ltd.

30. Changes to These Terms

We may update these Terms from time to time to reflect changes to Retreat Me Happy, our services, membership model, pricing, commercial model, technology or applicable legal requirements.

The current Terms will be published on the Retreat Me Happy website with the date they were last updated.

Where we make a material change that significantly affects an active paid membership, including a material change to applicable fees or commission arrangements, we will take reasonable steps to notify affected members before the change applies to them where appropriate.

Your continued use of Retreat Me Happy following the effective date of updated Terms constitutes acceptance of those Terms, subject to any rights you may have under applicable law.

31. Governing Law

These Terms are governed by the laws of Queensland, Australia.

The parties submit to the jurisdiction of the courts of Queensland and applicable Commonwealth courts.
